Channel Partnership Terms

Welcome to the Auditorium Works Channel Partner Network. These terms and conditions ("Terms") govern the partnership between Auditorium Works ("Company") and registered distributors, local representatives, or business agents ("Channel Partners"). By submitting a Partner Registration or executing any project lead registration under this program, you agree to comply with the rules outlined below.

1. Purpose & Relationship

The Channel Partner is authorized on a non-exclusive basis to promote, market, and pitch Auditorium Works' turnkey venue solutions, acoustic design services, AV systems integration, and professional stage equipment within their registered territory. The relationship between the parties is that of independent contractors. No agency, partnership, joint venture, or employee-employer relationship is established.

2. Deal Registration & Protection

To qualify for project commissions, the Channel Partner must submit a Deal Registration Form for every active pursuit. Deal registration grants the partner exclusive pursuit rights for a period of one hundred and eighty (180) days, subject to extension upon verification of active progress. Auditorium Works will not pitch directly to, nor support another partner for, a registered deal during its active protection window.

3. Commission Structure & Payouts

Commissions are paid on the net project value (excluding taxes, freight, duties, and site mobilization costs) actually received by the Company. Payout percentages are tiered based on the partner's active classification (Registered, Silver, Gold) and the total hardware-to-service integration ratio:

  • Hardware Orders & Seating: 5% to 8% commission based on tier.
  • Acoustic & AV System Integration: 7% to 10% commission.
  • Turnkey Design-Build Contracts: Custom project-specific commissions up to 12%.

Commissions are disbursed within thirty (30) days of the Company receiving the final retention payment or milestone collections from the end-customer.

4. Brand Guidelines & Intellectual Property

Channel Partners are granted a limited, revocable, non-transferable license to use the "Auditorium Works" trademarks, marketing materials, and technical datasheets solely to promote company services. Partners must not register domains, social media profiles, or corporate entities incorporating the "Auditorium Works" name. All mockups, CAD drawings, and acoustical simulation files generated by the Company's design desk remain the exclusive intellectual property of Auditorium Works.

5. Confidentiality & Non-Disclosure

During the course of the partnership, the partner will have access to confidential sales guides, pricing models, raw estimation formats, and client project data. The partner agrees to keep all such information strictly confidential and will not disclose it to competitor organizations or utilize it for independent business ventures outside the scope of this partnership.

6. Termination & Compliance

Either party may terminate the partnership agreement at any time, with or without cause, upon thirty (30) days' written notice. In the event of breach of ethics, price manipulation, or illegal commercial practices, the Company reserves the right to terminate the relationship immediately without payout obligation for outstanding leads.
